The management and
superintendence of the affairs of the Institute vest in a Council which
consists of the President, one Vice-President and such number of members from
amongst (a) the Fellows ; and (b) the
representatives of Bangladesh Bank, public sector banks, private sector banks,
foreign banks and financial institutions who contribute to the expenditure of
the Institute, as may be decided upon by the Council from time to time.
President : The Governor of
Bangladesh Bank is the President of the Institute and Chairman of the Council.
Vice-President : The Vice-President of the Institute and
Vice-Chairman of the Council is elected by the Council from amongst the
Nationalized Commercial Banks in alphabetical order for such period as may be
determined by the Council.
A member of the Council may
resign from it by addressing a letter to the Council to that effect and on the
acceptance of such resignation, his office becomes vacant.
Powers of the Council : Subject to the provision of the Societies
Registration Act, 1860 (Act No. XXI of 1860) and the Memorandum of Association
and Rules of the Institute, the Council may exercise all such powers of the
Institute and do all such acts and things which may be exercised or done by the
Institute.
Provided that no rule made by the
Institute at any General meeting shall invalidate any prior act or decision of
the Council, which would have been valid if that rule had not been made.
Generally, the Council may exercise the following powers : -
(i) To appoint officers and other
staff as may be necessary to run the Institute and remove and suspend them at
its discretion and to determine their powers and duties and to fix their
salaries and other emoluments and to acquire security from them in such
circumstances and of such amount as the Council may think fit.
(ii) To pay the costs, charges
and expenses, preliminary and incidental to the promotion, formation,
establishment and registration of the Institute.
(iii) To purchase or otherwise
acquire for the Institute any property, rights or privileges, movable or
immovable of whatever nature, for such price and on such conditions as the
Council may think fit.
(iv) To sell or lease or
otherwise dispose of all or any portion of the property of the Institute
whether movable or immovable as may be thought desirable.
(v) To invest and deal with
moneys not immediately required for the purpose of the Institute and to borrow
or raise money required for the purpose of the Institute upon such terms and in
such manner and on such securities as may be determined by the Council.
(vi) To secure the fulfillment of
any contracts or engagements entered into by the Institute by mortgage, charge
on all or any of the property of the Institute or in such other manner as the
Council may think fit.
(vii) To institute, conduct,
defend, compound or abandon any legal proceedings by or against the Institute
or otherwise concerning the affairs of the Institute and also to compound and
allow time for payment or satisfaction of any debts due and of any claims or
demands by or against the Institute.
(viii) To make and give receipts,
releases and other discharges for money payable to the Institute and for the
claims and demands of the Institute.
(ix) To designate a person who
shall sign on behalf of the Institute bills, notes, receipts, acceptances,
endorsements, cheques , leases, contracts and documents.
(x) To set aside any funds of the
Institute for creating any building or special fund or reserve fund and to post
the income arising there from to the credit of such funds.
(xi) To appoint any Committee or
Sub-Committee of members of the Council or of the Institute for any special
purpose as the Council may determine and to delegate necessary power as it may
think fit for such Committees or Sub-Committees.
(xii) To make, vary and repeal
such regulations and bye-laws as the Council may consider expedient for the
proper management and working of the Institute.
(xiii) To enter into all such
contracts and rescind and vary all such contracts, and execute and do all such
acts, deeds and things in the name and on behalf of the Institute as the
Council may consider expedient for the purpose of the Institute.
(xiv) To determine the rate (s)
of attendance fees that may be paid to the members of the Council and of the
Committees/Sub-Committees constituted by it for attending the meetings thereof.
Restriction on powers of the Council:
Without the approval of the
General or Extraordinary General Meeting of the members of the Institute, the
Council shall not
(i) sell, lease or otherwise dispose
of the whole or substantially the whole of the undertaking of the Institute ;
(ii) remit or extend time for the
repayment of any debt due by a member of the Council ; and
(iii) contribute to charitable
and other funds not directly related to the business of the Institute or of the
welfare of its employees.
Standing Committees of the Council :
In managing the affairs of the
Institute, the Council is assisted by 3 (three) Standing Committees which are
constituted by the Council from its members for a tenure of 1 (one) year each.
These Committees are as follows : -
(i) Administration and Finance Committee :
This Committee consists of 5
(five) members taken from each category of Council Member Commercial Banks and
DFIs in alphabetical order .
Functions of the Committee : To make recommendations to the Council
on matters relating to creation of posts of officers and other employees, and
recruitment and promotion policies ; to approve recommendations of the Tender
and Purchase Committee of the Institute ; to take decisions regarding administrative
and financial matters which do not require prior approval of the President or
of the Council of Institute subject to post-facto approval of the Council ;
etc.
(ii) Syllabus and Examination Committee :
This Committee consists of 7
(seven) members 6 (six) of whom are taken from six categories of Council member
Banks (including Bangladesh Bank)/FIs and 1 (one) member is taken from two
Fellows who are members of the Council. Alphabetical order is followed in
selecting members of this Committee.
Functions of the Committee : To recommend to the Council appropriate
syllabus for the Banking Diploma Examination (Part-I and Part-II) conducted by
the Institute ; to approve the time-table of the Banking Diploma Examination
(Part-I and Part-II), remunerations of various external persons engaged in
examination work, results of the Banking Diploma Examination and awards/prizes
to be given to the deserving examinees ; to award punishments for various
offences committed by candidates in the examination ; etc.
(iii) Journal and Library Committee :
The composition of Journal and
Library Committee is the same as that of Syllabus and Examination Committee and
the same rationale is followed in selecting members of this committee as that followed
in case of Syllabus and Examination Committee.
Functions of the Committee : To look after the qualitative standard
and timely publication of the half-yearly Journal of the Institute; to
determine remunerations of the Editor and other persons associated with the
Journal ; to select the Editor of the Journal, reviewers of the articles and
the articles to be published in the Journal ; to oversee proper management and
development of the Institutes library, procurement/collection of books,
magazines, periodicals, journals, etc. as per need of the readers ; etc.
